IMPORTANT - PLEASE READ CAREFULLY: These Terms and Conditions of Use constitute a legally binding agreement (the "Agreement") between you and CostaRicaWebHub.com ("CRWH", or "we", "us" or "our") regarding your participation in the content and services we have entitled the Costa Rica Web Hub ("CRWH"). By accessing and using CRWH, you acknowledge that you have read and understand the terms of this Agreement, and that you agree to be bound by them. If you do not agree with these terms and conditions then you are not authorized to access and use CRWH, and you should exit this site immediately.
All members of CRWH are required to agree to the following Terms and Conditions. Anyone violating these Terms and Conditions is subject to immediate removal from the banner exchange program without any obligation from CRWH to redeem any earned credits or to give any refunds for purchased credits.
1. You agree to insert the full and unmodified HTML code we provide to you in connection with your registration for and ongoing participation in CRWH for displaying banner ads on your web site, in as many or few pages as you choose. We reserve the right to verify the correct placement of our HTML code through any means.
2. Members acknowledge that CRWH is a free service supported by sponsors. At any given time, the CRWH HTML code on a member's Web site may display an advertisement from a sponsor, from another member, or from CRWH.
3. All CRHW HTML code must be placed in a plainly visible location on the page on which it is displayed.
4. We reserve the right to terminate your account if your web site displays an inordinate number of banners for or links to competing banner exchange programs or if you display the CRWH HTML code in a high number of dynamically generated pages (all of which will be determined in our discretion).
5. You may not artificially inflate traffic counts to your site using any device, program or other means. You may not include the HTML code on any pages that automatically reload or forward to another page without interaction from the visitor of the site or on pages not visible to the general public. You may not insert the HTML code into any pages not related to the site being advertised. Anyone found in violation of these policies will be immediately banned from participation in CRWH.
6. The following sites are NOT allowed to participate in CRWH: Sites NOT related to Costa Rica, or Costa Rican products or services; sites that contain little or no original content; sites containing pornographic materials or sites linking to pornographic sites; sites encouraging illegal activity or any type of discrimination such as racism; sites providing instructions or discussions about performing illegal activities; sites engaged in libelous or harassing activities; sites that promote or utilize software or services designed to deliver unsolicited e-mail; sites containing any abusive language; sites that are otherwise inappropriate. We reserve the right, in our sole discretion, to allow or deny your participation in CRWH and to terminate your participation in CRWH at any time for any or no reason.
7. You acknowledge and agree that your Web site information (name, URL, traffic counts, etc.) may be utilized by us for uses such as (without limitation): top ten sites statistics, lists of member sites, etc.
8. You agree to utilize our services at your own risk. CRWH, its administrators, partners, agents, and sponsors cannot be held liable for any damage or loss of information that may occur from the use of the services of CRWH.
9. ALTHOUGH WE WILL MAKE A REASONABLE EFFORT TO PROVIDE HIGH QUALITY SERVICES FOR OUR MEMBERS, WE MAKE NO WARRANTIES OR GUARANTEES OF ANY KIND REGARDING THE DEPENDABILITY, ACCURACY, OR TIMELINESS OF THE SERVICES OF CRWH.
10. In connection with your participation in CRWH, we may occasionally provide you with information that is proprietary to us. You acknowledge and represent to us that you are not a competitor of CRWH, and agree not to share information you receive from us with our competitors.
11. If you violate any of these terms and conditions (as determined by CRWH in its sole discretion), you may be prohibited from participating in CRWH.
12. You agree to defend, indemnify and hold CRWH harmless from and against any and all claims, losses, liability, costs and expenses (including but not limited to lawyers' fees) arising from your violation of this Agreement or any third party's rights, including but not limited to infringement of any copyright, violation of any proprietary right and invasion of any privacy rights. This obligation will survive any termination of this Agreement.
